To use our services, you must: • Be at least 16 years of age (the minimum age to act as a company director in the UK) • Have the legal capacity to enter into a binding contract • Provide accurate, current, and complete information as required • Not be disqualified from acting as a company director under the Company Directors Disqualification Act 1986 • Not use our services for any unlawful purpose

4. Our Services

We provide company formation and related business services as a licensed Companies House agent. Our services include: • Company incorporation with Companies House • VAT registration with HMRC • Registered office address services • Director and secretary services • Accounting and bookkeeping services • Business bank account introduction services • Amazon seller account setup assistance We act as an intermediary agent and submit applications on your behalf. We are not a law firm, accountancy practice, or financial adviser, and our services do not constitute legal, tax, or financial advice. You should seek independent professional advice where appropriate.

5. Your Obligations

When using our services, you agree to:
  • Provide truthful, accurate, and complete information in all forms and documents submitted through our platform.
  • Ensure that the proposed company name does not infringe upon any existing trademarks, intellectual property rights, or applicable naming regulations.
  • Comply with all applicable UK laws and regulations, including the Companies Act 2006, the Money Laundering Regulations 2017, and any sector-specific legislation.
  • Promptly provide any additional documentation or information we may request to process your application or comply with regulatory requirements.
  • Notify us immediately of any changes to the information you have provided.
  • Keep your account credentials secure and not share them with unauthorised persons.
  • Not use our services for fraudulent, illegal, or money laundering purposes.

6. Orders and Payment

6.1 Placing an Order

When you place an order through our Website, you are making an offer to purchase our services. We will confirm acceptance of your order by email. A binding contract is formed when we send this confirmation.

6.2 Pricing

All prices displayed on our Website are in British Pounds Sterling (£) and include VAT where applicable. We reserve the right to change our prices at any time, but price changes will not affect orders that have already been confirmed.

6.3 Payment

Payment is required at the time of placing your order. We accept payment via credit card and debit card through our secure payment processor, Stripe. All payment transactions are encrypted and processed in accordance with PCI DSS standards.

6.4 Government Fees

Our service fees are separate from any government filing fees (e.g., Companies House incorporation fees, HMRC registration fees). Government fees, where applicable, are included in our package prices unless otherwise stated.

7. Company Formation

7.1 Formation Process

Upon receipt of your completed application and payment, we will submit your company formation documents to Companies House. Standard formation is typically processed within 24 hours on business days, subject to Companies House processing times. We cannot guarantee specific formation timelines as these are dependent on Companies House.

7.2 Company Name

While we provide a company name availability check, this is indicative only and does not guarantee that Companies House will approve the name. Companies House retains the sole discretion to accept or reject any proposed company name. If your chosen name is rejected, we will work with you to find a suitable alternative at no additional cost.

7.3 Application Rejection

If Companies House rejects your application for reasons within your control (e.g., inaccurate information, unsuitable company name), we will assist you in resubmitting at no additional charge. However, we are not liable for any delays or losses caused by the rejection.

8. Refunds and Cancellations

8.1 Before Submission

You may cancel your order and receive a full refund at any time before we submit your application to Companies House or any other governmental body. Please contact us at support@rightformations.com to request a cancellation.

8.2 After Submission

Once your application has been submitted to Companies House or any other governmental body, we cannot offer a refund for the service fee, as the service has been substantially performed. Government filing fees that have already been paid are non-refundable.

8.3 Digital Content

In accordance with the Consumer Contracts Regulations 2013, you acknowledge that by requesting us to begin processing your order immediately, you lose your right to cancel under the 14-day cooling-off period once the service has been fully performed.

9. Anti-Money Laundering (AML) Compliance

As a Companies House agent, we are subject to the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017. We are required to: • Verify the identity of all directors, shareholders, and persons with significant control (PSCs) • Conduct ongoing monitoring of business relationships • Report any suspicious activity to the National Crime Agency (NCA) You agree to provide all information and documentation necessary for us to meet our AML obligations. Failure to provide satisfactory identification may result in us being unable to process your application, and we may be required to terminate our relationship with you. We reserve the right to refuse any application where we have reasonable grounds to suspect that the services are being sought for the purposes of money laundering, terrorist financing, or other criminal activity.

10. Intellectual Property

All content on our Website, including text, graphics, logos, images, software, and design, is the property of Right Formations Limited or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our Website without our prior written consent.

11. Limitation of Liability

To the fullest extent permitted by law: • Our total liability arising from or in connection with these Terms or your use of our services shall not exceed the total amount paid by you for the specific service giving rise to the claim. • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill. • We are not liable for any losses arising from information you provide that is inaccurate, incomplete, or misleading. • We are not liable for delays or failures caused by Companies House, HMRC, or any other governmental body. • We are not liable for any losses arising from your failure to comply with these Terms or applicable laws. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

12. Indemnification

You agree to indemnify and hold harmless Right Formations Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of our services, your breach of these Terms, or your violation of any applicable law or the rights of any third party.

13. Termination

We may suspend or terminate your account and access to our services at any time if: • You breach any provision of these Terms • We are required to do so by law or regulatory authority • We reasonably believe your account is being used for fraudulent or illegal purposes • You fail to provide requested AML/KYC documentation Upon termination, any outstanding obligations and liabilities shall survive.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also have the right to bring proceedings in the courts of your country of residence.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of our Website or services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

18. Severability
